The financing values Brahma AI at $2 billion on a post-money basis, according to Prime Focus, which backs the company through its subsidiary DNEG.

Multiples is investing $100 million through preferred shares, while Brahma AI has received a further $100 million in investor interest, according to the startup.

In a regulatory filing, Prime Focus described the Multiples investment as a proposed $100 million transaction and the wider fundraising round as being targeted at $150 million. Completion remains subject to Prime Focus shareholder approval and other required consents.

The funding is expected to support research and development, global market expansion, talent and process development, and a larger presence in Silicon Valley.

How the Multiples investment is structured

According to Prime Focus’s exchange filing, Multiples Private Equity Gift Fund IV proposes to invest $54.36 million in Brahma AI Holdings, while Multiples Private Equity Fund IV will invest the rupee equivalent of about $45.64 million in Brahma AI Services India.

The investments will be made through compulsorily convertible preference shares.

Following completion of the transaction, Prime Focus is expected to retain a 65.67% economic interest in Brahma AI Holdings on a fully diluted basis through DNEG.

Its voting rights in Brahma AI Holdings will, however, fall to 24.99% from 89.27%. Brahma AI Holdings and Brahma AI Services India will cease to be subsidiaries of Prime Focus and become associate companies after the transaction is completed.

Brahma AI will continue to operate under founder and CEO Prabhu Narasimhan.
